Terms of Service

These Terms of Service (“Terms”) govern your use of https://aiagentproperties.com and any engagement with AI Agent Properties LLC, a Texas limited liability company based in Waco, Texas (“we,” “us,” or “our”). By using our website, submitting an inquiry, or signing a statement of work with us, you agree to be bound by these Terms.

We design, build, and maintain custom AI-powered automation for professional service businesses. Engagements are structured around a one-time setup fee to design and implement an automation, followed by a monthly retainer covering hosting, monitoring, and ongoing support. The exact scope of work, deliverables, and timeline for a given engagement are set out in a separate proposal or statement of work, which is incorporated into these Terms by reference.

Setup fees and monthly retainers are invoiced through Stripe. Invoices are due upon receipt unless the applicable proposal states otherwise. Monthly retainers renew automatically each billing cycle until the engagement is terminated in accordance with these Terms.

Late payments may result in suspension of the affected services until the account is brought current. You are responsible for any taxes applicable to your purchase, other than taxes on our net income.

You own your business data — the information, documents, and content you provide to us or that flows through an automation we build for you.

We own our underlying tooling, frameworks, prompt libraries, and methods of implementation, including anything created before or independently of your engagement, or that is reusable across clients. Where an automation is built specifically for you under a statement of work, you receive a license to use it for your business for as long as your engagement remains active, as detailed in that statement of work.

You are responsible for the accuracy of the information and access you provide us, for reviewing and approving outputs from any automation before they are relied upon in your business, and for maintaining appropriate human oversight of automated processes. We build automation to assist your team, not to replace professional judgment where it is required.

The services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any automation will be uninterrupted, error-free, or produce a specific business outcome.

To the fullest extent permitted by law, in no event will AI Agent Properties LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to these Terms or the Services. Our total liability for any claim arising out of an engagement will not exceed the amount you paid us for the Services giving rise to the claim in the three months preceding the claim.

Either party may terminate a monthly retainer engagement with written notice, as specified in the applicable statement of work, or absent a specified notice period, with thirty days’ written notice. We may suspend or terminate the Services immediately if you fail to pay amounts owed or use the Services in a way that violates these Terms or applicable law. Fees paid for services already rendered are non-refundable.

Each party agrees to protect the other’s confidential information with the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as necessary to perform under an engagement or as required by law.

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date at the top of this page. Continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in McLennan County, Texas, and each party consents to the personal jurisdiction of those courts.
